1. Agreement
These Terms of Service (“Terms”) govern access to and use of the HUMINT web application and related APIs (the “Service”) operated by European Management Institute (“we”, “us”, “our”), available at https://humint.digital.
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
Our Privacy Policy explains how we process personal data and forms part of your overall understanding of the Service.
2. The Service
The Service provides professional tools for authorised users to manage contacts, meetings, documents, research workflows, calendaring integrations, messaging features, and related operational functions. Features may change over time as we improve the product.
The Service is intended for lawful professional and organisational use. It is not a consumer social network and is not directed to children under 16.
3. Accounts and access
- You must provide accurate account information and keep credentials confidential.
- You are responsible for activity under your account, including actions by users you authorise.
- We may suspend or terminate access if we reasonably believe these Terms, applicable law, or the security of the Service have been violated.
- Organisation administrators may control user access, roles, and data within their tenant.
4. Acceptable use
You agree not to:
- use the Service in violation of applicable laws or third-party rights;
- upload or process data you are not authorised to collect, store, or share (including personal data without a lawful basis);
- attempt to gain unauthorised access to the Service, other accounts, or underlying systems;
- interfere with or disrupt the Service, including by introducing malware or excessive automated load outside documented APIs;
- reverse engineer the Service except where such restriction is prohibited by law;
- misuse third-party integrations (including Google APIs) in ways that violate their terms or policies.
5. Your content
You (or your organisation) retain ownership of content you submit to the Service (“Customer Content”). You grant us a limited licence to host, process, transmit, and display Customer Content solely as needed to provide and secure the Service and related support.
You are responsible for the accuracy and legality of Customer Content and for obtaining any consents or authorisations required before uploading it.
6. Third-party services and Google
Optional integrations (for example Google Calendar or Gmail) are provided by third parties and subject to their own terms and privacy policies. Enabling an integration constitutes your instruction for us to access the relevant account on your behalf within the scopes you approve.
You may disconnect integrations at any time. We are not responsible for third-party service outages, policy changes, or data handled outside the Service after you export or sync it to a third party.
7. AI-assisted features
Some features may use artificial intelligence to generate analyses, summaries, or similar outputs from content you provide. Outputs may be inaccurate or incomplete and are provided for assistance only. You remain responsible for reviewing outputs before relying on them for decisions.
8. Intellectual property
The Service, including software, design, trademarks, and documentation (excluding Customer Content), is owned by us or our licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
9. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update these Terms from time to time; the “Last updated” date will change when we do. Continued use after changes become effective constitutes acceptance where permitted by law.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet all of your requirements or that results obtained through the Service will be accurate or reliable.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
Our aggregate liability for claims relating to the Service shall not exceed the greater of (a) the fees you paid us for the Service in the twelve (12) months before the claim, or (b) one hundred euros (€100), except where liability cannot be limited under applicable law (including liability for death or personal injury caused by negligence, or for fraud).
12. Indemnity
You will defend and indemnify us against claims, damages, and expenses arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or for operational, legal, or security reasons. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive termination.
14. Governing law
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles, unless mandatory consumer or data-protection rules of another jurisdiction apply. Courts of competent jurisdiction in Italy shall have exclusive jurisdiction, subject to mandatory venue rules that cannot be waived.
